Thank you for visiting www.GradeMyProgram.com (the “Site” or “Website”). The Website is owned and operated by a Canadian-owned corporation dba GradeMyProgram (“GradeMyProgram”, “Company”, “we”, “us”, or “our”).

These Terms and Conditions (“Terms”) govern your use of the Website and the content provided throughout the Website. By visiting the Website and/or using any of the Website features, you agree to be bound by these Terms including those additional policies referenced herein. These Terms apply to all users (referred to as “user(s)”, “you” or “your”) of the site, including without limitation, users who are browsers and/ or contributors of content.

THE FOLLOWING AGREEMENT GOVERNS YOUR USE OF THE WEBSITE. PLEASE READ THE FOLLOWING TERMS CAREFULLY BEFORE USING THE WEBSITE.  IF YOU DO NOT AGREE WITH THESE TERMS, OUR PRIVACY POLICY, OR COPYRIGHT POLICY, YOU SHOULD NOT USE THE WEBSITE. BY USING THE WEBSITE, YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ AND ACCEPT ALL TERMS, CONDITIONS, POLICIES, AND NOTICES STATED IN OUR POLICIES.

1. GradeMyProgram - General

GradeMyProgram is a review site for all university and college programs across Canada. It allows both current students and alumni of Canadian Universities to rate their experience in their respective programs.  To find out more information about the Website, please refer to our “About” section on the Website.

We are constantly working on improving the Website. We reserve the right to add or remove functionalities or features to improve the Website, along with, but not limited to, adding additional college and university programs as we become aware of them or conversely removing college or university programs that are no longer offered.  We may suspend or stop the Website, temporarily or permanently, or restrict or prohibit access to the Website or parts thereof, without notice to you. You agree that we shall not be liable to you or to any third party for any modification, or discontinuance of the Website. We reserve the right, in our sole discretion, to correct any errors or omissions in any portion of the Website at any time without notice but confirm that we have no obligation to do so.

These Terms are in effect as of effective date as noted above. We reserve the right to add, remove, modify, or otherwise change any part of these Terms at any time without prior notice. Changes will be effective when the revised Terms are posted on the Website or are otherwise made available to you. It is your responsibility to consult these Terms from time to time to ensure that you are up to date on any changes which may affect you. You will know if the Terms have been revised since your last visit to the Website by referring to the "Last Updated" date at the beginning of these Terms. Your continued access and use of the Website after the changes to these Terms take effect will constitute your acceptance of such changes.  If you do not agree to the changes, you are required to immediately discontinue use of the Website.

BY ACCESSING AND USING THE WEBSITE, YOU ACCEPT, WITHOUT LIMITATION, ALL OF THE TERMS AS INDICATED HEREIN. IF YOU DO NOT AGREE TO THE TERMS, YOU ARE NOT PERMITTED TO ACCESS OR USE THE WEBSITE.

2. Eligibility  

GradeMyProgram is strictly limited to parties who can lawfully enter into and form contracts on the Internet. Program ratings should only be posted by users who are currently completing or have completed a program at a particular university or college.

If you are under the age of 18, you may only use the Website with the consent of your parent or legal guardian. It is your responsibility to ensure your parent or legal guardian has reviewed and discussed these Terms with you.

3. User Content

You agree to use the Website in accordance with the following rules. All content submitted by you in writing a review, including, but not limited to, your name, biographical information, and all other names, likenesses, graphics, logos, marks, text, images, photographs, ratings, and all other information and material shall be called "User Content" for short.

We reserve the right to publish your graduating year next to your review on the Website. If for any reason you would like to remove this information, please contact us at grademyprogram@gmail.com.

When you post a review, you affirm that you authorize GradeMyProgram to use the review in whole or in part. Specifically, you grant GradeMyProgram.com a non-exclusive, perpetual, irrevocable, transferable, royalty-free license (including full rights to sub-license) to use User Content in any media throughout the world without restriction, and you warrant that any material you submit is your own work or that you have obtained all necessary rights and permissions of the relevant owner and that you have all relevant rights in your User Content to enable you to grant the rights in this clause.

You hereby unconditionally and irrevocably waive and agree not to assert any and all moral rights and any other similar rights and all rights of publicity or privacy in any country in the world in connection with our rights in your User Content granted here under, to the maximum extent permissible by law.

4. Terms of Use

A. The Website is to be used solely for learning about or sharing information related to college and university programs in Canada.

B. You are responsible for any “User Content” as defined above that you submit on the Website and compliance of any submitted User Content with applicable laws.

C. You represent that: (i) all User Content is accurate; (ii) you have all necessary rights to your User Content including all necessary rights to provide your User Content and to make it available in accordance with these Terms; and (iii) you are not infringing or violating any third party’s rights by providing User Content or making User Content available for others to view on the Website.

D. In submitting User Content to us, you acknowledge that the User Content will be shared publicly on the Website.

E. In using the Website, you agree not to submit any User Content that may be deemed threatening or unsafe to other parties. See Section 5, “Prohibited Uses” for more information and Section 7 “Review Guidelines.”

F. We may, but have no obligation to, monitor, edit, report or remove User Content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable or violates any third party’s intellectual property or these Terms.

G. By providing User Content to us, you hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sub-licensable right to make use of User Content in connection with providing, managing, and administering the Website. For clarity, we may use, reproduce, archive, transmit, cache, and otherwise use User Content for the purpose of providing the Website and to the extent applicable, in accordance with our Privacy Policy.

H. You acknowledge and agree that we may investigate any alleged or potential violations of law or these Terms and in doing so, may co-operate with law enforcement authorities. If we suspect a violation of our Terms or potential violations of law, your access may be suspended or terminated without notice to you. In addition, we reserve the right to seek all available remedies for violations of these Terms.

I. You agree to use the Website only for purposes that are permitted by these Terms and in compliance with all applicable laws, regulations, and generally accepted practices or guidelines in the relevant jurisdictions.

5. Prohibited Uses

You will not (and will not attempt to):

(i) Use the Website for any purpose that is unlawful, harmful or otherwise objectionable, including any conduct that would constitute a criminal offence or incur civil liability, infringe others’ intellectual property or other rights, disclose private or personal matters concerning any person, or otherwise violate any applicable law;

(ii) Post reviews that are not in compliance with our Review Guidelines as set out in Section 7 of these Terms;

(iii) Use, store, share, host, copy, distribute, display, publish, transmit, or send content that is or may be deemed offensive, inflammatory, hateful, defamatory, discriminatory, obscene, pornographic, abusive, invasive of privacy, harmful to others, or otherwise objectionable, or to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, disability, or other grounds of discrimination contrary to applicable law;

(iv) Attempt to impersonate another person or create or use a false identity when posting a review on the Website;

(v) Gain unauthorized access to GradeMyProgram’s computer system or engage in any activity that interferes with the performance of, or impairs the functionality or security of the Website, GradeMyProgram’s networks, and computer systems, including hacking or circumventing any system feature including any experimentation, inspection, decrypting, decompiling, disassembling or reverse engineering any portion of the Website for any reason;

(vi) Access and obtain or attempt to obtain any material or information from the Website through any automated means or with any automated features or devices (including any use of data mining, bots, spiders, automated tools or similar data gathering and extraction methods for uses, including but not limited to, scraping or collecting any  information posted on the Website) as further described in;

(vii) Access or collect any personally identifiable information, including any names, email addresses, or other such information for any purpose without the consent of the owner of the information;

(viii) Reproduce, modify, duplicate, copy, imitate, mirror, publish, download, transfer, sell, license or create derivate works from, any of the contents of the Website for any purpose;

(ix) Reproduce, duplicate, modify, copy, distribute, reproduce, license, create works from, transfer, or sell any information bearing any trademark, service mark, trade name, or logo owned by GradeMyProgram in a way that is likely or intended to confuse the owner or authorized user of such marks, names or logos; and

(x) Use the website to violate, or encourage the violation of, applicable laws or for any other obscene or immoral purpose.

You use this Site at your own risk. You agree that you will be personally responsible for your use of this Site and all of your communication and activity on this Site. If we determine, in our sole discretion, that you engaged in prohibited activities, were not respectful of other users, or otherwise violated these Terms, we may deny you access to post reviews to this Site on a temporary or permanent basis.

6. Reviews- General

You confirm you are or were a student in the university or college program you are reviewing and are leaving a genuine review of the experience you had in that program. We are entitled to refuse publication of your review if inappropriate comments are made but confirm that we have no obligation to do so.

We want everyone who has attended or is attending a university or college program listed on the Website to be able to share their experience on GradeMyProgram, as such, you agree to use the review function in an appropriate manner.

The reviews provided by users do not reflect the views of GradeMyProgram and we do not represent or guarantee the truthfulness, accuracy, or reliability of any posting or endorse or support any opinions expressed in reviews.

We reserve the right to review and monitor any content you post, and if we determine that a post does or may violate these Terms, we may take actions such as deleting the post, revoking your right to post reviews and any other applicable actions in order to enforce these Terms.

7. Review Guidelines

You undertake to us that your review of your program is in accordance with the policies set out in these Terms and is in compliance with the following guidelines:

(i) Reviews must be honest. Try to remain objective and unbiased in your review. Reviews must not be dishonest, false or biased;

(ii) The content of the reviews must focus only on categories set out in the review writing process; namely courses, facilities, faculty and overall rating;

(iii) The reviews must avoid hearsay and focus on your individual experience;

(iv) Reviews must not infringe copyrights or database rights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any other person or entity;

(v) Reviews must not contain any personal information relating to any persons. Do not refer to specific faculty members by name in your rating. The point of the review is to give an overall rating of the quality of teaching as a whole, rather than reviewing a specific faculty member;

(vi) Reviews must not contain any malicious code, such as viruses, worms, Trojan horses or other potentially harmful programs or material;

(vii) Reviews must not violate any applicable local, national or international law, statute, ordinance, rule or regulation;

(viii) Reviews must not be unlawful, deceptive, misleading, fraudulent, threatening, abusive, harassing, libelous, defamatory, tortious, obscene, pornographic or profane, have sexist, political or racial character;

(ix) Reviews must not violate these Terms or any of our policies, reveal any personal information about another individual, including another person's name, address, phone number, email address, credit card information or any other information that could be used to identify that person; and

(x) GradeMyProgram is NOT a place to report dangerous or illegal behaviors or activities experienced or witnessed at a particular university/ college. These instances should be reported directly to your university/college or law enforcement.

If your review contains any material that is not owned by or licensed to you and/or which is subject to third party rights, you are solely responsible for obtaining, prior to submission of your review, all releases, consents and/or licenses necessary to permit use of User Content by us in accordance with these Terms without compensation.

If you defame a company, an individual or any person or entity on the Website, you are solely legally responsible and GradeMyProgram will not be held liable.

8. Flagging a Review

If you see a rating that you believe violates the Review Guidelines outlined in Section 7, please reach out to grademyprogram@gmail.com and we will investigate the review.
 
9. Ownership Rights

The contents of this site, including reports, data, databases, graphics, interfaces, designs, web pages, text, files, software, services, images, logos, icons, trade names, audio or video clips, underlying HTML, software codes, meta-tags, trade-marks, service marks, patents, industrial designs, copyrights, trade secrets, and other intellectual property rights contained in, associated with or available through the Website including the manner in which Website Content is presented or appears ( i.e. the ‘look and feel’) and all information relating thereto ( collectively, “Website Content”), are the property of GradeMyProgram or used under license by us, or we are authorized to use or reproduce Website Content by the holder of all rights thereto.

Website Content is protected by copyright, trademark or other applicable laws. You are authorized to display Website Content on your computer in a web browser as part of the expected and ordinary use of the Website . You shall not copy or use Website Content in any other manner or for any purpose. In particular, you shall not:   

(i) copy, sell, reproduce, distribute, retransmit, publish, modify, display or prepare derivative works based on, re-post, or otherwise use any Website Content or underlying ownership rights or copyrights without our prior written consent; or

(ii) remove or alter any visible or non-visible identification, marks, notices, or disclaimers.

As a result, your use of the Site and its contents grants no rights to you concerning any copyright, designs, and trademarks and all other intellectual property and material rights mentioned, displayed, or relating to the Website Content.  All Website Content, including third-party trademarks, designs, and related intellectual property rights mentioned or displayed on this Site, are protected by intellectual property laws. Any unauthorized reproduction, redistribution, or other use of the Website Content is prohibited and may result in civil and criminal penalties. 10. Monitoring Activity

GradeMyProgram has no obligation to monitor this Site or any portion thereof. However, we reserve the right to review any posted content and remove, delete, or redact such content, at our sole discretion, at any time and from time to time, without notice or further obligation to you.

GradeMyProgram, subject to the Privacy Policy, reserves the right to disclose, at any time and from time to time, any information or posted content that it deems necessary or appropriate, including without limitation to satisfy any applicable, law, regulation, contractual obligation, legal, dispute process, or governmental request.


11. Third-Party Hyperlinks

The Website may contain hyperlinks to websites operated by parties other than GradeMyProgram, including but not limited to, reviews found on Reddit.com. These hyperlinks do not imply any endorsement by us of or any affiliation with the hyperlinked website.

Reviews provided by third-party hyperlinks also do not reflect the views of GradeMyProgram and we do not represent or guarantee the truthfulness, accuracy, or reliability of any posting or endorse or support any opinions expressed in reviews from third-party websites.

12. Warranties and Disclaimer

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, GRADEMYPROGRAM EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING ANY (A) WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE AS TO THE SITE AND ITS CONTENT, INCLUDING THE INFORMATION, DATA, SOFTWARE, OR PRODUCTS CONTAINED THEREIN, OR THE RESULTS OBTAINED BY THEIR USE OR AS TO THE PERFORMANCE THEREOF, (B) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING, AND (C) WARRANTIES OR CONDITIONS OF UNINTERRUPTED OR ERROR-FREE ACCESS OR USE. THE SITE AND ALL CONTENTS THEREIN AND COMPONENTS THEREOF ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND YOUR USE OF THE SITE IS AT YOUR OWN RISK.

13. Limitation of Liability

UNDER NO CIRCUMSTANCES, WHETHER IN CONTRACT OR TORT (INCLUDING NEGLIGENCE), AS A RESULT OF BREACH OF WARRANTY, STRICT LIABILITY, INDEMNITY OR UNDER ANY OTHER THEORY OF LIABILITY, SHALL GRADEMYPROGRAM OR ITS DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, REPRESENTATIVES, CONTRACTORS, CONSULTANTS, AFFILIATES, LICENSORS OR SERVICE PROVIDERS (COLLECTIVELY, THE “GRADEMYPROGRAM PARTIES”) BE LIABLE FOR ANY LOSS OR DAMAGES WHATSOEVER, INCLUDING ANY DAMAGES CHARACTERIZED AS: (I) LOSS OF PROFITS, INCOME, OR REVENUES, LOSS OF OPPORTUNITIES, BUSINESS INTERRUPTION OR LOSS, CORRUPTION TO OR DELETION OF DATA; OR (II) DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY LOSSES OR DAMAGES, OF ANY NATURE WHATSOEVER, INCLUDING DAMAGES ARISING FROM OR IN CONNECTION WITH:

(i) YOUR ACCESS TO, USE, OR RELIANCE ON THE WEBSITE AND ITS’ CONTENT;

(ii) UNAUTHORIZED ACCESS TO OR USE OF THE WEBSITE OR GRADEMYPROGRAM’S SECURE SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;

(iii) YOUR INABILITY TO ACCESS OR USE THE WEBSITE;

(iv) ANY INFORMATION PROVIDED ON THE WEBSITE (INCLUDING THROUGH THE WEBSITE OR ANY CONTENT LINKED OR LINKING TO THE WEBSITE);

(v) ANY DELIVERY, HOSTING OR ANCILLARY SERVICES OR FACILITIES OF THIRD PARTY PROVIDERS USED BY GRADEMYPROGRAM; OR

(vi) ANY OTHER MATTERS RELATING TO THE WEBSITE

EVEN IF GRADEMYPROGRAM PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE.

CERTAIN JURISDICTIONS MAY NOT ALLOW LIMITATIONS ON OR EXCLUSIONS OF EXPRESS OR IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS PROVIDED FOR HEREIN MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS AS PROVIDED BY LAW.

14. Release and Indemnification

A. You hereby expressly and irrevocably release and forever discharge GradeMyProgram Parties from any and all actions, causes of action, suits, proceedings, liability, debts, judgments, claims or demands of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, in law or equity, which you ever had, now have, or hereafter can, shall or may have, for or by reason of, or arising out of, resulting from or in any way connected, directly or indirectly, your use of the Website.

B. You hereby agree to indemnify and hold harmless GradeMyProgram Parties from and against all actions, damages, claims, fines, penalties, complaints, demands, suits, proceedings, liabilities, costs, expenses, or losses (including reasonable legal fees) (collectively, “Claims”), resulting from or arising out of: (i) any breach of these Terms or the materials it incorporates by reference by you or any other person authorized by you, (ii) your use of or access to the Website (iii) any violation of applicable laws or any rights of a third party by you or any other person authorized by you; or (iv) User Content you provide to us in connection with the Website.

You agree to assist and co-operate fully as reasonably required by GradeMyProgram Parties in the defense of any such Claim.

C. Without limiting the generality of Section 14. B above, you are responsible and may be held liable for:

(i) any breach of your representations or obligations under these Terms and for the consequences of such breach, including any resulting loss or damage incurred by GradeMyProgram Parties or any other party; and

(ii) any losses incurred by GradeMyProgram Parties or any other party due to the access to or use of the Website;
 
15.     Governing Laws

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the Federal laws of Canada applicable therein (excluding any conflict of laws rules or principles which might refer to the laws of another jurisdiction).  Any dispute arising from, connected with, or relating to the Website, these Terms, the Privacy Policy, or Copyright Policy will be resolved by binding arbitration in Ontario.

16. Privacy

The Privacy Policy is incorporated by reference into these Terms. By agreeing to these Terms, you are also agreeing to our Privacy Policy. The Privacy Policy explains how we handle personal information that you provide to us and protect your privacy when you use the Website. For more information on how we collect and use your information please refer to our Privacy Policy.

17. Changes

We reserve the right to update and revise these Terms at any time. You will know if these Terms have been revised since your last visit to the Website by referring to the "Last Updated” date at the beginning of these Terms. Any changes to these Terms will be effective immediately. Your continued use of the Site constitutes your acceptance of these Terms as amended or revised by us from time to time, and you should, therefore, review these Terms regularly.

18. Severability

If any provisions of these Terms shall be deemed invalid, void, or for any reason unenforceable, then such provision shall be construed, as nearly as possible, to reflect the intentions of the parties and shall not affect the validity and enforceability of the remaining provisions of these Terms which shall stay in full force and effect.

19. Assignment

We shall be permitted to assign or otherwise transfer our rights, duties and obligations under these Terms without your consent or any notice to you. You shall not, without prior written consent, assign or otherwise transfer your rights, duties or obligations under these Terms.

20. Entire Agreement

These Terms and Conditions set forth the entire understanding and agreement between you, the sser, and GradeMyProgram concerning the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written concerning the Site. A printed version of these Terms and Conditions and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms and Conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any rights not expressly granted herein are reserved. You may not assign the Terms and Conditions, or assign, transfer or sublicense your rights therein. A failure to act concerning a breach by you or others does not waive GradeMyProgram's right to act concerning subsequent or similar breaches.

21. Termination

A. These Terms are effective until terminated or replaced by us, with or without cause, in our sole discretion. We reserve the right to delete your review in the event that you fail to comply with these Terms or for any other reason whatsoever, with or without cause. Violations of these Terms may result in the termination of your ability to post reviews on the Website permanently or temporarily. Any such termination shall be in addition and without prejudice to such rights and remedies as may be available to us, including injunction and other civil or equitable remedies or relief. We shall not be liable to you or to any third party in any way for such actions.   

B. If these Terms or your permission to post reviews on the Website are suspended or terminated for any reason, then: (i) these Terms will nevertheless continue to apply and be binding upon you, in respect of your prior access to or use of the Website and anything connected with, relating to or arising therefrom; and (ii) we may continue to use and disclose the personal information you provided to us, in accordance with the Privacy Policy.

22. No Waiver

We will not be considered to have waived any of our rights or remedies described in these Terms unless the waiver is in writing and signed by us against whom such waiver is invoked. No delay or omission by us in exercising our rights or remedies will impair or be construed as a waiver. Any single or partial exercise of a right or remedy will not preclude further exercise of any other right or remedy. Our failure to enforce the strict performance of any provision of these Terms will not constitute a waiver for our right to subsequently enforce such provision or any other provisions of these Terms.

23. Interpretation

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party. The headings used in these Terms are included for convenience only and will not limit or otherwise affect the meaning of the Terms.

In these Terms, unless something in the subject matter or context is inconsistent therewith or unless otherwise herein provided:

(i) a reference to any applicable law is to that applicable law as now enacted or as the same may from time to time be amended, re-enacted or replaced;

(ii) the term “provision” includes terms, conditions, covenants, agreements, representations, warranties and other provisions;

(iii) words or abbreviations that have well known technical, industry or trade meanings are used herein in accordance with their recognized meanings;  

(iv) where the word “including” or “includes” is used, it means “including (or includes) without limitation”; and

(v) words importing the singular include the plural and vice versa and words importing gender include all genders.
